ARTICLE I – NAME and OBJECTIVES

 

Section 1: Name

 

The organization shall be known as the “KLAMATH FALLS BASKETBALL OFFICIALS ASSOCIATION” (KFBOA).

 

 

Section 2: Objectives and Purpose

 

The Objectives and the Purpose of the Association shall be:

 

1. To provide schools and other organizations with competent basketball officials who are approved by the Association and certified by the OREGON SCHOOLS ACTIVITIES ASSOCIATION (OSAA).

 

1. To promote uniformity in the mechanics and to improve the standards of basketball officiating.

 

1. To provide for study, discussion and interpretation of the rules of basketball.

 

1. To assist in the enrollment and development of competent basketball officials through an apprenticeship program.

 

1. To promote a better understanding of the importance of fair play and sportsmanship among contestants and those in charge of athletic contests.

 

1. To promote good fellowship among its members.

 

1. To promote and ensure compliance with Codes of Ethics set by the National Federation of State High School Association.

 

 

Section 3: Limitations/Disclaimers

 

1. All officials are independent contractors who have the right to accept and decline assigned games, per the terms of the independent contractor agreement executed between the official and KFBOA.

 

1. All officials and members of the KFBOA are not employed by the KFBOA.

 

 

ARTICLE II – MEMBERSHIP and VOTING

 

Section 1: General

 

Membership shall consist of Regular, Probationary, Honorary and Inactive Members. Regardless of the status of the individual’s registration with OSAA or KFBOA, Membership in the Association is not granted until approved by the Commissioner.

 

1. Regular Members. Regular Members are officials who were Regular Members in good standing and participated in officiating basketball games of the previous season, or who have been approved for regular Membership by the Executive Committee.

 

1. Probationary Members. Probationary Members are all first and second year members.

 

1. Honorary Members. Honorary Membership shall include former Regular Members who desire to continue Membership in the Association but will not officiate basketball games. Honorary Members will be approved by the Executive Committee.

 

1. Inactive Members. A Regular Member may request a leave of absence and becomes an Inactive Member for a period not exceeding one year without losing Membership and will retain rights and privileges of a Regular Member. Inactive Members need not pay any dues. In the case of extenuating circumstances (military deployment, etc.), the Executive Committee may approve leaves of absence longer than one year.

 

 

Section 2: Members in Good Standing

 

A member shall be considered in good standing when he/she remains active in the Association, complies with the Association’s Constitution and operating rules, has paid any applicable dues and fees, regularly attends the Association’s meetings, and has abided by the ethical standards of the Association and the Codes of Ethics referred to in Article I, Section 2, Subsection (7).

 

 

Section 3. Voting

 

Regular Members and Probationary Members in good standing shall be entitled to vote at any election or upon any matter of general Association business submitted to vote by the Association’s Membership, except that the Executive Committee may establish specific criteria as recommended by bona fide committees that limits voting eligibility for specific and non-general matters, e.g., classification committee, tournament selection committee, etc.

ARTICLE III – THE EXECUTIVE COMMITTEE

 

Section 1: General

 

The Association’s Executive Committee shall be made up of the Commissioner, Secretary/Treasurer, President, Past-President, four at-large positions, and a non-voting new member position. Together as the Executive Committee, these delegates are responsible for the orderly operation of the Association.

 

 

Section 2: Qualifications

 

No person shall be eligible to hold any office or executive committee position unless at the time of the election or appointment is a Regular or Honorary Member in good standing, except that a probationary member is eligible to hold the position of new member. No person may hold more than one office at the same time, or an office and/or a position as a member at large of the Executive Committee. An Executive Committee member must resign his/her current position immediately upon the election or appointment to a new position.

 

 

Section 3: Terms of Office

 

1. The Commissioner will be elected to a three year term.

 

1. The Secretary/Treasurer will be elected to a three year term concurrent with the term of the Commissioner.

 

1. The President will serve a four year term filling the positions of President and Past President each for two years.

 

1. Four At-Large Positions will be elected to four year terms.  Two At-Large positions will be elected every other year concurrent with the term of the president. 

 

1. The new member position will be elected to a one year term, and shall be elected from officials just completing their first or second year.  If there are no suitable candidates or nominees meeting these criteria, the Association may nominate an official just completing their third year. If there are again no suitable nominees, the Association may nominate an official just completing their fourth year, and so forth until the position is filled. This position is a non-voting position.

 

 

Section 4: Duties of the President

 

The President shall preside at all regular meetings of the Association and Executive Committee. The President shall be responsible for the success of the organization and see that all business is discharged in accordance with the Constitution, Bylaws and the operating rules of the KFBOA. The President shall vote on all matters along with the voting members of the Executive Committee.

 

 

Section 5: Duties of the Past President

 

The Past President shall assist the newly elected President with a transition to his/her newly elected position. The Past President shall be a voting member of the Executive Committee.

 

 

Section 6: Duties of the Executive Committee

 

1. Act in good faith to establish and enforce policies and procedures that represent the best interest of the KFBOA as a whole.

 

1. Ensure the orderly operation of the Association with respect to its Bylaws, policies and procedures, all done within the guidelines set by the OSAA.

 

1. Facilitate training and on-going evaluations of active members of the KFBOA.

 

1. Establish and maintain an on-going program to recruit new officials and retain existing officials.

 

1. Act as a liaison between members and the Executive Committee with respect to complaints, suggestions and questions.

 

1. Respond to disciplinary or procedural issues that are brought in front of the Executive Committee with respect to members of the Association and/or the Commissioner of the Association.

 

1. Vote on issues that are brought to the Executive Committee in regards to disciplinary situations or broken rules that are established within the Penalties/Violations portion of the Bylaws.

 

1. Evaluate and oversee the performance of the Commissioner.

 

 

Section 7: Duties of the Commissioner

 

1. To approve or deny membership of applicants to the Association.
2. To assign all games to officials.

 

1. To conduct at least one open clinic to the public with the cooperation of all the members at each school serviced, upon written request by those schools.

 

1. To attend all meetings of the Executive Committee.  The Commissioner does not vote on the Executive Committee, except to break a tie.

 

1. To be a Liaison between the referees of the KFBOA and administrators from schools serviced.

 

1. To chair and appoint members to the classification committee.

 

1. Visit each school serviced at least once during the season.

 

 

Section 8: Duties of the Secretary/Treasurer

 

1. Keep all records and documents of the Association including payroll, taxes, evaluations and complaints, and disciplinary action taken against members of the KFBOA.

 

1. Be responsible for timely payment of expenses, including but not limited to:
1. Payment of game fees and mileage to officials
2. Costs for Association dues and/or materials from OAOA and/or OSAA
3. Proper crediting of unencumbered funds belonging to member schools or organizations

 

1. Be responsible for timely collection of revenues, including but not limited to:
1. Send invoices and collect monies from schools and organizations for the payment of game fees and mileage
2. Collection of Association dues specific to the Association, and owed by members
3. Collection of Commissioner and Treasurer Fees owed by members.

 

1. Be responsible for the following:
1. Preparing annual statements of income to both the IRS and members in the form of an IRS form 1099
2. Balance and reconcile all bank accounts belonging to the Association
3. Report the financial status of the Association to the Executive Committee and Membership on a regular basis
4. Help maintain the scheduling tool used by the Commissioner
5. Maintain an attendance record of all Association and Executive Committee meetings

 

1. To attend and keep accurate records of all meetings of the Association and the Executive Committee.

ARTICLE IV – ELECTIONS

 

Section 1: General

 

Election of members to the Executive Committee shall be held no later than the last regular business meeting of the current basketball season, or at such other regular business meeting of the Association as designated by the Executive Committee.

 

 

Section 2: Nominations

 

All nominations shall be made from the floor of the KFBOA or they may be made via an electronic process as prescribed by the Executive Committee. All nominations must be submitted prior to the election date. Those members in good standing within the Association may submit nominations.

 

 

Section 3: Voting

 

Ballots shall be prepared and tallied by the Commissioner after the voting process. A plurality of the votes cast for each position shall be required for election to that position. In the case of a tie, the Commissioner shall select the winner by lot, unless the election is for the position of Commissioner, in which case the President shall select a winner by lot.

 

ARTICLE V – REMOVAL FROM OFFICE AND FILLING VACANCIES

 

Section 1: Removal of Officers and Members of the Executive Committee

 

Officers and other members of the Executive Committee not regularly attending meetings of the Association or of the Committee, or otherwise neglecting their duties or displaying conduct unbecoming an Executive Committee member may be removed from office by majority vote of the other members of the Executive Committee.

 

 

Section 2: Appeal Process

 

The affected member may appeal the decision of the Executive Committee to remove them from the Executive Committee to the general Membership.

 

 

Section 3: Filling Vacancies

 

Executive committee positions that become vacant during a term, either during that assigned season or off season will be filled temporarily by an appointee selected by the Executive Committee. Those positions will be voted upon during the next regular business meeting of the Association, determined by the Executive Committee. Those positions filled at the regular business meeting of the Association will serve out the remaining term of that position being filled.

 

 

ARTICLE VI – DISCIPLINE AND EXPULSION

 

Section 1: Discipline

 

Any conduct detrimental to the best interest of the KFBOA may be grounds for discipline. The Executive Committee shall investigate, review and pass judgment upon any complaints made against a member which has been submitted in writing or has been initiated by a member of the Executive Committee. The member shall be

Notified by writing and shall be given an opportunity to appear before the Executive Committee prior to making a final determination. The Executive Committee shall make appropriate disposition of the case; in connection therewith it may dismiss the case or reprimand, suspend, expel or otherwise discipline the member as warranted by the facts.

 

 

 

Section 2: Expulsion

 

Any conduct detrimental to the best interest of the KFBOA may be grounds for expulsion. No member expelled from the Association shall be reinstated to Membership during the year in which that member was expelled. An application for Membership initiated in any subsequent year shall be considered and acted upon by the Executive Committee.

 

 

Section 3: Criminal Behavior

 

1. A member shall be automatically expelled upon conviction of or plea of no contest to a felony. While awaiting trial or other disposition of the matter, a member shall not be eligible for assignment of games.

 

1. A member may be subject to disciplinary action, including expulsion at the discretion of the Executive Committee, upon conviction of or plea of no contest to a misdemeanor or other crime, or upon being charged with any crime, pending resolution of such charge.

 

 

Section 4: Violation of Association Policies

 

1. Complaints or other information obtained by the Commissioner from schools serviced, other officials or members of the Executive Committee may be disposed of in one or more of the following ways:

 

1. Consultation with official involved.
2. Discussion of the complaint generally at a meeting of the members without reference to the personalities involved.
3. Presentation to the Executive Committee for formal options if the nature of the complaint so warrants.

 

2. Violations, Fines and Penalties.

 

1. The Commissioner will assess penalties as outlined below (Table 1) for violations of Association policies.
2. The accumulation of three strikes or more per official will warrant fines, minimal assigned games or suspension determined by the Commissioner and the Executive Committee.
3. For circumstances not outlined in the table of penalties below, the Commissioner and/or Executive Committee will determine the penalty.
4. With regard to consistency, it is understood by all Members that penalties may be altered by the Commissioner or Executive Committee when such penalty would negatively impact the Association’s ability to supply officials for games. Examples may include delaying suspension of game assignments, etc.

 

 

Section 5: Appeal Process

 

Any decisions made by the executive Committee pursuant to Article VI are final.  Members may appeal to the Executive Committee any decisions made pursuant to ArticleVI, Section 4.  An appeal may be made by contacting a board member in writing within 15 days of the original decision to outline the grounds for the appeal.

 

Table 1: Penalties for Violations of Association policies

 

VIOLATION	FINE / PENALTY
1) Failure to make contact either verbally or through e-mail with partner. Referee (crew chief) is responsible for making initial contact but both referees are responsible for communication.	Penalty: $5.00 fine and one strike. If either official fails to make contact with his/her partner or only one official shows up, both officials will be penalized.
2) NO SHOW NO SHOW IS DEFINED AS FAILURE TO ARRIVE AT ASSIGNED GAME SITE.	Penalty: Three game penalty working @ half pay. Official must follow with written explanation for missing game.
3) ALCOHOL and or DRUG use. Officials must display professional manner by abstaining from consuming alcoholic beverage or illegal drugs prior to assigned contest	Penalty: If substantiated-Immediate suspension/hearing before EXECUTIVE COMMITTEE and will determine the Penalty depending on the severity of the situation up to and including termination from Association.
4) LATE ARRIVAL FAILURE to arrive at game site: JR HIGH thru SOPH: 15 minutes prior to game time. JV thru VARSITY 45 minutes prior to game time unless evaluating.	Penalty: One strike per incident.
5) UNAPPROVED UNIFORM Official must wear ASSOCIATION approved V neck shirt, patch, KFBOA jacket, black pants and black shoes and socks.	Penalty: One strike per incident.
6) Conduct Violations: During contests: Fighting, arguing, using profanity, baiting players, parents-game staff and or partners, leaving a game early or any other unprofessional behavior which reflects poorly on the KFBOA. All conduct violations will be investigated by the EXECUTIVE COMMITTEE and must be found to have merit before imposing any penalty.	Penalty: If substantiated- Immediate suspension/hearing before the EXECUTIVE COMMITTEE and will determine Penalty depending on the severity of situation up to and including termination from Association.
7) Conduct Violations, Unprofessional Behavior: Any behavior which reflects poorly on the KFBOA, which also includes inappropriate contact with athletic administrators, coaches (nomination process) players and parents. All conduct violations will be investigated by the EXECUTIVE COMMITTEE and must be found to have merit before imposing any penalty.	Penalty: If substantiated-Immediate suspension/hearing before the EXECUTIVE COMMITTEE AND will determine Penalty depending on the severity of the situation up to and including termination from Association.

ARTICLE VII – CLASSIFICATION COMMITTEE

 

Section 1: Classification Committee

 

1. The Commissioner shall appoint a classification committee at the beginning of each season.
2. The classification committee will meet prior to January 15 of each season to place all new and transfer officials into the proper classification, and update the classification of existing officials if necessary. See classification details below.
3. The classification committee shall convene at the end of the season to rate officials and place them in one of the following categories for the beginning of the following season:

 

1. CLASS ONE—Referee any basketball game in the Association
2. CLASS TWO—Referee any 1A/2A varsity game, can be used in a 3A/4A varsity game when needed
3. CLASS THREE—Referee any sub-varsity game, can be used in a 1A/2A varsity game when needed

 

1. Placement in each of these categories is based on evaluations completed by the classification committee, Commissioner, and through input from varsity officials.
2. The classification committee, at the request of the Commissioner, has the right to move an official to a different list as deemed necessary, and at any time.
3. The classification committee will present all revised classification lists to the executive board for final approval prior to publication.
4. Games may be assigned outside of an official’s classification level at the discretion of the Commissioner

 

ARTICLE VIII – TOURNAMENT/PLAYOFF SELECTION

 

Section 1: Selection of Nominated Officials

 

1. Officials who have met all OSAA eligibility criteria specified to work playoff or tournament assignments, and who attend at least 70% of all KFBOA general association meetings during the season are eligible for assignment to playoff games and/or regional or state tournaments.
2. Playoff and tournament assignments will be made by the Commissioner, after considering such customary information as input from coaches and peers, game evaluations, etc.

 

ARTICLE IX – DUES AND ASSESSMENTS

 

Section 1: Annual Dues

 

The annual dues of each member shall be determined by the Executive Committee. During the course of the year, the Executive Committee may levy additional assessments to each member if deemed necessary. These dues shall be used for OAOA individual OAOA dues, Association-related training materials, printing/advertising costs, tournament/playoff hospitality, and other uses deemed by the Executive Committee to be of common benefit to the members of the Association.

 

 

Section 2: Other Association Fees

 

1. Each member shall pay to the Commissioner and Secretary/Treasurer a fee determined by the Executive Committee. The fee shall be based on normal and ordinary fees for such services, and shall represent consideration of comparisons to other appropriate organizations. The fee may be a flat fee per schedule, or a percentage of game fees owed to each member
2. All members are required to purchase an OSAA packet containing current rules, mechanics, and other information
3. The Executive Committee shall present to the Association a fee schedule by the third regularly scheduled meeting of the Association. The fee schedule shall indicate the following:

1. The Commissioner’s fee for that season
2. The OSAA packet fee for that season
3. The KFBOA annual dues amount for that season
4. A billing schedule, which indicates when the above fees are due from each member, as well as when fines and special assessments will be due
5. The payment schedule for that season, indicating when members will receive compensation for games worked

1. Upon approval of each new fee schedule, it shall become an instrument of these Constitution & Bylaws, with all governing authority contained herein
2. Each annual fee schedule that is approved shall supersede any and all previous fee schedules, but all previously approved fee schedules shall be retained in the records of the Association.
3. In the event that a fee schedule is not approved by the third regularly scheduled meeting of the Association, the fee schedule from the prior season shall remain in effect until such time as a new fee schedule is approved     

1. Notwithstanding the provisions above, the OSAA packet fee is set by OSAA, and will become effective immediately for the new season regardless of whether or not a new fee schedule is approved

 

 

ARTICLE X – GOVERNANCE

 

Section 1: Constitution & Bylaws

 

KFBOA shall be governed pursuant to the Constitution and Bylaws set forth herein. The Executive Committee shall have authority to rule on matters not specifically covered in the Constitution and Bylaws. Where there are conflicts between these Constitution & Bylaws and OSAA governing documents, the OSAA governing documents shall take precedence.

 

 

Section 2: Amendment of Constitution & Bylaws

 

1. Amendments to the Constitution & Bylaws may be submitted to the Executive Committee by any member in good standing, or recommended to the Membership by the Executive Committee. Proposed amendments must be submitted to the Executive Committee in writing. Proposed amendments shall be referred to the Membership, which shall be given reasonable time to consider the amendment before it is put up for a vote.
2. The Executive Committee may opt to hold a live vote at the next regularly scheduled business meeting, or to conduct the vote via an electronic polling system approved by the Executive Committee, e.g. RefTown.

 

1. In the event of an electronic vote, the poll must be made available for seven (7) days, and members must be notified of the opening and closing date of the poll.

 

1. The result of the vote shall be determined by a majority of members casting a vote for that particular amendment. In the event of a tie, the Commissioner will cast the deciding vote.
